Confidentiality, Privacy, Intellectual Property, and Site Use Undertaking

GECO Communities

1. Introduction and Acceptance
This document constitutes a binding legal undertaking and shall apply to any person who enters the website, browses it, registers to it, uses its services, submits an application to join a community, is accepted into a community, participates in its activities, makes use of any of the tools made available through the Communities, or is exposed in any way to information, content, methodologies, tools, materials, ideas, processes, methods, business information, or personal information belonging to the communities, their management, community members, suppliers, partners, or related third parties.
By entering the website, using the website, joining a community, participating in any community activity, or using the communities’ systems, AI tools, programs, Mastermind groups, referral systems, or any content or service related to GECO Communities, the user expressly, fully, and irrevocably confirms that they have read this document, understood it, and agreed to all of its provisions without reservation.
Any person who does not agree to all provisions of this document in full is not permitted to enter the website, use it, register on it, view its content, participate in the communities, or be exposed to any information made available through it.

2. Identity of the Operating Entity
The website, platform, communities, community systems, services, tools, programs, and content are owned, operated, managed, maintained, and provided by GECO Communities (hereinafter: the “Communities”, the “Company”, “GECO”, or the “Website”), including any affiliated entity, manager, steering committee, employee, consultant, representative, or authorized person acting on its behalf.

3. Purpose of the Communities and Nature of the Activity
GECO Communities operates to promote personal, economic, social, and community abundance, and includes, among other things, learning environments, networking, referrals, Mastermind groups, dedicated AI tools, business programs, collaborative thinking, business development tools, and systems for creating professional connections, opportunities, and collaborations.
The Communities may involve exposure to sensitive information, ideas, methods of operation, strategies, business models, workflows, business information, personal information, professional information, trade secrets, methodological approaches, and original content. Accordingly, maintaining confidentiality, protecting privacy, safeguarding intellectual property, and refraining from unauthorized copying or use are essential and material conditions for use of the Website and participation in the Communities.

4. Definitions
For the purposes of this document, the following terms shall have the meanings set forth below:
“Confidential Information” means any information, data, content, document, process, method, idea, conversation, insight, plan, presentation, wording, drawing, database, referral, system, tool, learning material, operating model, strategy, planning, business information, personal information, professional information, contact details, lists, discussions, transcripts, outputs, conclusions, accumulated know-how, whether disclosed in writing, orally, digitally, visually, by recording, during a meeting, conversation, forum, Mastermind group, referral system, AI system, email, messaging, files, recordings, screens, documents, or in any other manner.
“Intellectual Property” means any existing or future right, whether registered or unregistered, including copyrights, performer’s rights, moral rights, trademarks, names, logos, patents, methods, formulas, trade secrets, models, structures, concepts, methodologies, process frameworks, service designs, databases, interfaces, files, content, courses, AI tools, instructions, prompts, scripts, working methods, ideas, work papers, and any other output.
“Community Materials” means any content, tool, method, document, system, know-how, program, process, training, model, idea, recording, form, file, software, image, video, document, dashboard, Mastermind discussion, referral system, AI output, analytical output, learning material, business process, or any other component related to the Communities.

5. General Confidentiality Undertaking
The user undertakes to maintain in full, strict, and absolute confidence any Confidential Information to which they are exposed in connection with use of the Website, registration, admission to a community, participation in any community activity, or from any source related to the Communities.
Without derogating from the generality of the above, the user undertakes that they shall not, directly or indirectly, do any of the following:
– Disclose, publish, transfer, distribute, expose, deliver, allow access to, or otherwise make available any Confidential Information to any third party, without GECO Communities’ prior express written approval.
– Retain, copy, transcribe, photograph, download, duplicate, document, record, scan, or create derivative material from any Confidential Information, unless expressly permitted in writing.
– Use any Confidential Information for any commercial, business, competitive, marketing, personal, professional, research, educational, or other purpose, whether for themselves or for any other person.
– Use any information disclosed to them in order to bypass, imitate, build, reconstruct, copy, or improve the services, products, processes, proposals, models, or methods of operation of the Communities or of other community members.
– Make any use of information obtained through a relationship of trust, community interaction, participation in a meeting, Mastermind group, referral system, or any other community framework, except for the limited purpose for which such information was disclosed and subject to this document.

6. Confidentiality and Privacy of Other Community Members’ Information
The user acknowledges that, within the Communities, they may be exposed to private, business, commercial, professional, strategic, or personal information belonging to other community members, including, among other things, through:
– referral systems and business opportunities;
– Mastermind groups;
– consultation, support, sharing, or brainstorming sessions;
– group or one-on-one meetings;
– correspondence, discussion groups, messaging systems, files, and outputs;
– matching processes between professionals, business owners, and community members.
The user undertakes to keep any such information strictly confidential and not to make any use of it, except for the limited, reasonable, and direct use required for proper participation in the activity for which the information was disclosed.
For the avoidance of doubt, any business information of other community members, including client names, business models, pricing proposals, pricing structures, marketing methods, sales processes, contact persons, collaborations, business opportunities, supplier information, development plans, ideas, strategies, business challenges, internal data, or any other information of business value, shall be deemed Confidential Information for all purposes, even if not expressly marked as such.

7. Intellectual Property of the Communities
All Intellectual Property rights of any kind whatsoever in connection with the Website, the Communities, the Community Materials, the structure of the Communities, the operating principles, methodologies, methods, ideas, programs, texts, designs, systems, AI tools, outputs, processes, referral model, Mastermind groups, the “Business Stages Program”, any track, method, form, instruction, script, prompt, dashboard, presentation, procedure, learning material, or any other content, are and shall remain the sole and exclusive property of GECO Communities, unless expressly stated otherwise in writing.
The user is granted, at most, a personal, limited, revocable, non-exclusive, and non-transferable permission to view the Community Materials and use them solely for internal and personal learning purposes, within the Community and for the purpose for which they were made available.
Without derogating from the generality of the above, the user is strictly prohibited, without prior written approval, from doing any of the following:
– Copying, duplicating, photographing, translating, adapting, publishing, distributing, selling, renting, displaying, delivering, transferring, making available to the public, or reusing any Community Materials.
– Making any external or commercial use of the “Business Stages Program,” the dedicated AI tools, referral systems, process structures, prompts, work methods, content, ideas, models, or outputs of the Communities.
– Using the Community Materials for the purpose of establishing, marketing, operating, or improving any service, community, venture, product, program, system, workshop, course, platform, or other framework that competes with, or may compete with, the Communities.
– Removing, obscuring, or altering ownership notices, copyright notices, trademarks, legal notices, credits, or identifying marks.
– Performing reverse engineering, reconstructing logic, imitating structure, extracting data, systematic collection, data mining, scraping, training other systems, or any action intended to derive, reconstruct, or use the structure, content, or logic of the Community Materials.

8. Permitted Learning versus Prohibited Copying
The Communities encourage learning, development, personal and business growth, and the application of general insights learned within their frameworks. However, this does not grant the user any right to actually copy the Community Materials or make any prohibited use of their content.
Accordingly, the user may learn, think, develop, and draw general inspiration from participation in the Communities, but may not:
– copy methodologies in a substantial or complete manner;
– replicate developed ideas or unique operational frameworks;
– use the Communities’ workflows, scripts, processes, AI tools, service models, or documents as though they were their own;
– present, transfer, or sell materials learned within the Communities as their own independent creation;
– use outputs or Community Materials outside the permitted framework without explicit authorization.
The distinction between permitted learning and prohibited copying shall be determined, among other things, according to the extent of substantive similarity, the scope of use, the purpose of use, the nature of the use, and whether the knowledge or material has been used beyond general learning and in a manner that infringes the rights of the Communities or their members.

9. Prohibition on Uncoordinated Outreach, Circumvention, and “Client Poaching”
In order to preserve trust, fairness, a safe working environment, and the avoidance of friction within the Community, the user undertakes not to use their membership, access, exposed information, relationships created, client details, contact persons, referrals, databases, business familiarity, or outputs obtained through the Communities, for the purpose of direct, indirect, or sophisticated outreach to clients, prospective clients, partners, suppliers, referrers, opportunity sources, or contacts of other community members, without proper coordination, prior transparency, and appropriate consent.
Without derogating from the above, it is prohibited to:
– Use information obtained through the referral system in order to bypass another community member.
– Contact a client of another community member, to whom the user was exposed through the Community, for the purpose of offering a competing, alternative, or parallel service, without coordination and consent.
– Use Community Information in order to locate, solicit, divert, transfer, or “poach” clients, leads, partners, or business opportunities.
– Create a business connection with a party disclosed through the Community in a manner inconsistent with the principles of fairness, good faith, and trust upon which the Community is based.
Nothing in this section shall prohibit legitimate, open, coordinated, and fair business interaction conducted with the knowledge of the relevant parties, transparently and in good faith.

10. Privacy, Databases, and Use of Information
The user undertakes to respect the privacy of the Communities, the community members, and any person exposed through the Website or community activity. No use shall be made of personal details, contact details, personal information, or business information disclosed within the Community, except as expressly permitted and in accordance with applicable law and the Website’s legal documents.
For the avoidance of doubt, the mere technical possibility of viewing, accessing, downloading, saving, copying, or sending information does not constitute legal authorization to do so.

11. Duty of Care, Good Faith, and Loyalty to the Community Framework
The user undertakes to act in good faith, fairly, and loyally toward the community framework, with respect for the privacy, rights, and legitimate interests of the Communities and of other community members.
The user shall not perform any act that may harm the trust among community members, the good name of the Community, its orderly activity, its systems, its rights, its trade secrets, its intangible assets, or its information security.

12. Sanctions and Consequences of Breach
Any breach of this document, in whole or in part, shall be deemed a material and fundamental breach of the conditions of use and participation in the Community, entitling GECO Communities, at its sole discretion and without derogating from any other right under law or contract, to take any one or more of the following actions:
– Block access to the Website, services, systems, groups, AI tools, content, or Community, temporarily or permanently.
– Suspend, freeze, or terminate membership in the Community.
– Remove content, restrict permissions, or revoke access to tools or information repositories.
– Require the immediate cessation of any use, and the destruction or return of materials and information.
– Initiate legal proceedings, including claims for injunctive relief, specific performance, restitution, damages, statutory damages where permitted by law, and any monetary or other remedy.
– Require the breaching party to fully indemnify the Communities for any damage, loss, harm, expense, cost, loss of profit, reputational harm, diminution in value, business harm, enforcement costs, and legal expenses arising from the breach.

13. Ownership in Materials, Outputs, and Improvements
Unless expressly agreed otherwise in writing, any development, improvement, adaptation, extension, insight, document, derivative output, systematic structure, value proposition, prompt, process, operational framework, or other component created on the basis of the Community Materials or through substantial use thereof, shall, to the extent permitted by law, be deemed derived from the Intellectual Property of the Communities, and the Communities shall be entitled to assert their rights therein.

14. Duration of the Undertaking
The user’s obligations under this document, and in particular their obligations regarding confidentiality, privacy, intellectual property, non-copying, prohibition on external use, and prohibition on uncoordinated outreach, shall remain in full force and effect without limitation in time, for as long as the information has not lawfully entered the public domain other than as a result of the user’s breach, or for any longer period afforded by applicable law.
Termination of use of the Website, termination of membership in the Community, deletion of an account, non-acceptance to the Community, cessation of activity, or any other change in the user’s status shall not derogate from the validity of these obligations.

15. Right of the Communities to Take Protective Measures
GECO Communities shall be entitled to take technological, contractual, community-based, legal, organizational, and evidentiary measures in order to protect confidentiality, privacy, intellectual property, business information, work methods, systems, content, and any other legitimate interest of the Communities or their members.

16. Miscellaneous
– This document is in addition to, and not in lieu of, any Terms of Use, Privacy Policy, Community Guidelines, Code of Conduct, admission documents, undertakings, or other legal documents of the Website and the Communities.
– In the event of any inconsistency, the provision shall be interpreted in the manner that affords broader protection to confidentiality, privacy, intellectual property, and the legitimate interests of the Communities, to the extent permitted by law.
– If any provision of this document is held unenforceable or void, such determination shall not affect the remaining provisions, which shall remain in full force and effect.
– Any failure by the Communities to enforce any right under this document shall not constitute a waiver thereof.

17. Governing Law and Jurisdiction
This document shall be governed exclusively by the laws of the State of Israel. Exclusive local jurisdiction over any matter arising out of or related to this document shall lie with the competent courts in the district to be determined by GECO Communities, subject to any mandatory provisions of applicable law.

18. User Confirmation
I hereby confirm that I have read the above undertaking, understood its content and meaning, and agree to all of its terms. I acknowledge that entering the Website, accessing its content, registering, participating in the Community, being exposed to information, or using the Communities’ services constitutes a binding legal acceptance of all of the above.

It is recommended to place next to this document a mandatory checkbox in wording such as:
“I confirm that I have read and agreed to the Confidentiality, Privacy, Intellectual Property, and Site Use Undertaking of GECO Communities.”
